These terms apply to your use of this website. Client engagements are governed by a separate written agreement.

The short version.

These Terms of Use ("Terms") govern your access to and use of neumannpaige.com (the "Site"), operated by Neumann Paige ("we", "us", "our"). By using the Site you agree to these Terms. If you do not agree, please do not use the Site.

Nothing on this Site creates a client relationship, an attorney-client relationship, or any obligation on our part to act for you. Client engagements begin only when we countersign a written engagement letter.

Informational purpose.

Content on this Site — including service descriptions, industry pages, articles, and answers to common questions — is provided for general informational purposes. It is not legal, financial, medical, or other professional advice, and it should not be relied on as a substitute for advice from a qualified professional who has reviewed the specifics of your situation.

We update the Site periodically, but we do not guarantee that every page is current, complete, or free from error at any given moment.

No engagement by browsing or contact.

Sending a message through the consultation form, emailing us, or speaking with us on a call does not, by itself, create a professional engagement. An engagement exists only when:

We have completed our intake and conflict review,
A written engagement letter has been issued by us, and
You have signed and returned it and any deposit required in that letter has cleared.

Until then, please do not send documents or details you consider highly sensitive. We will tell you the appropriate secure channel once we are engaged.

Acceptable use.

You agree not to:

Use the Site to violate any law or the rights of any person.
Attempt to gain unauthorized access to any part of the Site, our systems, or accounts belonging to others.
Interfere with, disrupt, or place undue load on the Site (including scraping at a rate that impairs service).
Upload or transmit malware, exploit code, or anything designed to damage or surveil our systems.
Misrepresent your identity or affiliation, or submit information on behalf of someone else without authority.
Use the Site to harass, defame, or threaten any person.
Copy, republish, or repackage substantial portions of the Site for competitive purposes.

Intellectual property.

The Site, its design, copy, articles, code, and the Neumann Paige name and marks are owned by us or our licensors and are protected by copyright, trademark, and other laws. You are granted a limited, revocable, non-exclusive license to view the Site for personal, non-commercial informational use.

You may quote brief excerpts with clear attribution and a link back to the source page. Any other reproduction, distribution, adaptation, or commercial use requires our prior written permission.

Information you submit.

You are responsible for the accuracy and legality of information you submit through the Site. Do not submit information about third parties that you are not authorized to share. We handle submitted information in accordance with our Privacy Policy.

You represent that any information you provide is truthful and that you have the right to share it with us.

Third-party names, links, and platforms.

The Site may reference third-party platforms, publications, and services by name — for example search engines, AI assistants, or news outlets — solely to describe the landscape our work operates in. All third-party names and marks belong to their respective owners.

Neumann Paige is independent and is not affiliated with, endorsed by, or sponsored by Google, Microsoft, OpenAI, Anthropic, Perplexity, xAI, Meta, or any other platform we may reference. Links to third-party sites are provided for convenience only; we do not control and are not responsible for their content, policies, or practices.

No guarantees of outcome.

Site provided "as is."

The Site is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, and any warranty that the Site will be uninterrupted, error-free, secure, or free of harmful components.

Limitation of liability.

To the maximum extent permitted by law, Neumann Paige and its personnel will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or related to your use of the Site — even if we have been advised of the possibility of such damages.

Our total aggregate liability arising out of or related to the Site is limited to one hundred U.S. dollars (US $100). Nothing in these Terms limits liability that cannot be limited under applicable law.

Indemnification.

You agree to defend, indemnify, and hold harmless Neumann Paige and its personnel from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your misuse of the Site, your violation of these Terms, or your violation of any law or the rights of any third party in connection with your use of the Site.

Governing law and disputes.

These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict-of-law principles. You agree that any dispute arising out of or related to these Terms or the Site will be brought exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction there.

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.

Changes.

We may update these Terms from time to time. The effective date at the top of the page indicates when they were last updated. Continued use of the Site after changes take effect constitutes acceptance of the revised Terms.
